Sponsor.
Sweepstakes Period. Entry to a Sweepstakes must be submitted no later than the end date for the applicable Sweepstakes specified above (each an "End Date"). The period of time starting from 12:01 a.m. on the start date of the applicable Sweepstakes up to 11:59 p.m. on the End Date of that Sweepstakes is referred to herein as the "Sweepstakes Period".
Eligibility. Open to legal residents of the United States (excluding Rhode Island, Puerto Rico and all other U.S. territories and possessions outside of the continental United States and where otherwise prohibited by law) who are 18 years of age or older at the time of entry (or in the case of legal residents of jurisdictions where the age of majority is greater than 18 years of age, such age of majority under the laws of the jurisdiction in which they reside at the time of entry). Limit four entries per Sweepstakes per person and/or e-mail address.
Persons who have requested to have ChatThreads make a donation to charity rather than enter the Sweepstakes are not eligible to enter the Sweepstakes, either online or by a mail-in entry.
Employees, officers, directors, agents, representatives and independent contractors (and their immediate family members and members of the same households (whether related or not) of Sponsor, its advertising and promotion agencies, manufacturers or distributors of Sweepstakes materials, and their respective parents, subsidiaries and affiliated companies are not eligible to participate.
Subject to all federal, state and local laws and regulations. Void in Rhode Island, Puerto Rico and all other U.S. territories and possessions outside of the continental United States and where prohibited by law or restricted by such laws, including but not limited to jurisdictions with laws that would require registration and/or trust account or posting of a bond, or any other requirements that are not satisfied by these Official Rules.
Application of Official Rules. All Sweepstakes are governed by these Official Rules. By submitting an entry, Sweepstakes participants agree to be bound by these Offical Rules. Participants further agree that Sponsor shall retain full authority, in their sole discretion, to interpret and administer these Official Rules, and to be bound by all decisions and interpretations made in good faith by Sponsor regarding the Sweepstakes, whose decisions shall be final and binding in all respects.
Entry. NO PURCHASE OR COMPLETION OF THE SWEEPSTAKES SURVEY NECESSARY TO ENTER OR WIN. COMPLETION OF THE SWEEPSTAKES SURVEY WILL NOT INCREASE YOUR CHANCES OF WINNING. YOUR CHANCES OF WINNING BY MAIL-IN WITHOUT COMPLETING THE SWEEPSTAKES SURVEY ARE THE SAME AS THE CHANCES OF SOMEONE WHO COMPLETES THE ONLINE SWEEPSTAKES SURVEY.
- Online Entries: Visit https://www.chatthreads.com and complete the Sweepstakes Surveys during the applicable Sweepstakes Period. You can enter the Sweepstakes by indicating your desire to do so at the end of the Sweepstakes Surveys. All online entries must be received within the applicable Sweepstakes Period. If you wish to enter the Sweepstakes without completing the Sweepstakes Surveys, use the mail-in entry option described below.
If there is a dispute over the identity of an online participant, the entry will be deemed submitted by the Authorized Account Holder regardless of the individual that submitted the entry. "Authorized Account Holder" is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, educational, institution, etc.) responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
- Mail-in Entries: To enter print your name, address, date of birth, e-mail address (if applicable), the name of the brand you talked about, the Sweepstakes End Date and the prize for which you wish to enter and mail to: ChatThreads Corporation, 1318 Beacon Street, Suite 9, Brookline, MA 02446, Attn. Sweepstakes in a postage prepaid envelope. Your entry must be post-marked on or prior to the End Date and received by Sponsor not later than within 10 days following the End Date. Proof of sending will not be deemed to be proof of receipt by Sponsor.
Your entry to a Weekly Sweepstakes automatically enters you to all of the Weekly Sweepstakes remaining in the Sweepstakes Period and to the Grand Prize Sweepstakes. Sweepstakes entries become the property of Sponsor. Limit four entries (per Sweepstakes) per person and/or e-mail address. Neither Sponsor nor its advertising and promotion agencies are responsible for lost, late, incomplete, illegible, mutilated, inaccurate, misdirected, stolen or postage due entries or mail, or for any problems of any kind whether mechanical, human or electronic, including, but not limited to, computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, or service provider/Internet/web site/use net accessibility or availability, traffic congestion, or unauthorized human intervention. Sponsor reserves the right to suspend or terminate any sweepstakes in the event of any such problem.
Information Contained in Entry. By submitting an entry, each Sweepstakes participant represents and warrants to Sponsor that the information contained in the entry is true and correct in all material respects and that Sponsor may rely on such information in their efforts to comply with applicable laws and regulations. It is your sole responsibility to notify Sponsor in writing if your contact information, including your e-mail address (if applicable) changes.
Data Collection. Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and Sponsor&rsqo;s Privacy Policy (as may be amended from time to time), currently located at https://www.chatthreads.com/privacy_policy/; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail.
Prizes. A description of the prize available to be won is set out above at the top of the Rules and The Weekly Sweepstakes Prizes and Grand Prize described above are collectively referred to as the "Prizes".
The number of Weekly Sweepstakes Prizes available to be won corresponds to the number of weeks (full seven days; partial days are not rounded up) in the Sweepstakes Period. Notwithstanding the foregoing, the number of prizes available to be won has been capped, as shown at the beginning of these Official Rules.
Winners are solely responsible for any costs and expenses in connection with the Prizes that are not specified herein, including without limitation all applicable federal, state and local taxes. If by reason of any error (relating to electronic transmission, technical or human errors or otherwise), more prizes are claimed than the number set forth herein, all persons making valid claims will be included in a random drawing for the number of prizes stated. Prizes may not be transferred or assigned. No cash value or substitution of any prize will be permitted or provided, except that Sponsor, in its sole discretion, may provide a prize of comparable or greater value.
Drawing/Odds of Winning. Winners for the Weekly Sweepstakes Prizes will be selected each full week during the applicable Sweepstakes Period in a random drawing from all eligible entries received by representatives of Sponsor, whose decisions are final in all matters relating to the Sweepstakes. Drawing for the Grand Prize will be held no later than 90 days after the applicable End Date. There will be a separate drawing for each Sweepstakes. For each Sweepstakes, odds of winning a Prize depend on number of eligible entries received. Each eligible Sweepstakes participant may only win one Weekly Sweepstakes Prize and the Grand Prize.
Awarding of Prizes. Winners of a Sweepstakes will be notified by e-mail within 15 days of the drawing. Winners without an e-mail address will be notified via postal mail at the address provided in their entries. Sponsor reserves the right to require winners to show proof of identity prior to receiving prizes.
Winners will be required to complete an Affidavit of Eligibility and Release, and such other documents as Sponsor may reasonably require, and return these documents within 10 days of delivery. If these documents are returned as undeliverable or are not completed and returned by such deadline or if a potential winner does not meet the eligibility or other requirements of the Sweepstakes, the prize will be forfeited and an alternate winner may be selected. Prizes will be awarded within 30 days after receipt by Sponsor of the executed Affidavit of Eligibility and Release, and such other documents as Sponsor may reasonably require.
Sponsor is not responsible for prize information or documents that are lost or misdelivered by the postal service or carrier.
By completing the Affidavit of Eligibility and Release, the winners grant permission to the use of their names, addresses and Conversation IDs for advertising and promotional purposes for this and similar promotions without additional compensation except where required by law. Prizes are not transferable.
Non-compliance with these Official Rules or undeliverable notification may result in disqualification and selection of an alternate winner.
Announcement of Winners. Sponsor will post the name and address of the winners at https://www.chatthreads.com/winners following the completion of the Sweepstakes.
Unlawful Conduct and Disqualification. Sponsor reserves the right, in its sole discretion, to disqualify any Sweepstakes participant who Sponsor determines, in its sole discretion, has (a) tampered with the entry process or the operation of the Sweepstakes or of any web site owned, operated or controlled by Sponsor or its parent, subsidiaries or affiliated companies; (b) was ineligible to participate in the Sweepstakes; (c) submitted more than the allowed number of entries; (d) behaved in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person; or (e) otherwise acted in an unlawful manner and/or in violation of these Official Rules. Robotic, automated, programmed, or computer generated entries or mechanical reproductions are prohibited, and any use of such devices or entry methods will cause disqualification. Any attempt by a participant to deliberately damage any web site or undermine the legitimate operations of the Sweepstakes is a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek damages from any such participant to the fullest extent permitted by law and to disqualify such participant from any Sweepstakes.
Severability. If any one or more provisions of these Official Rules are held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such invalidity, illegality or unenforceability shall not affect the validity, effect or enforcement of any other provision or provisions of these Official Rules.
Indemnity. By participating in the Sweepstakes, you agree to release and hold harmless Sponsor, its clients, its advertising and promotion agencies, manufacturers or distributors of Sweepstakes materials, the entities whose names or brands appear in any Sweepstakes Survey, their respective parents, subsidiaries and affiliated, and all of their respective officers, directors, shareholders, employees, affiliates, representatives and agents from any and all losses, damages, rights, claims, actions and proceedings of any kind arising out of or relating to the Sweepstakes or resulting from acceptance, possession, use, or misuse of any prize, including, without limitation, personal injuries, death, and property damage, and any claims based on publicity rights, defamation, or invasion of privacy.
DISCLAIMER/LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL SPONSOR, ITS CLIENTS, ITS ADVERTISING AND PROMOTION AGENCIES, MANUFACTURERS OR DISTRIBUTORS OF SWEEPSTAKES MATERIALS, THE ENTITIES WHOSE NAMES OR BRANDS APPEAR IN ANY SWEEPSTAKES SURVEY, THEIR RESPECTIVE PARENTS, SUBSIDIARIES AND AFFILIATED, THEIR SUCCESSORS OR ASSIGNS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE LIABLE FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, OR EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONJUNCTION OR CONNECTION WITH YOUR PARTICIPATION IN A SWEEPSTAKES, POSTING ON OR ACCESS AND/OR DOWNLOAD OF ANY MATERIALS OR INFORMATION FROM ANY WEB SITE OWNED, OPERATED OR CONTROLLED BY SPONSOR AND/OR ANY PRIZE (INCLUDING, BUT NOT LIMITED TO, ITS ACCEPTANCE OR USAGE) AWARDED TO YOU IN CONNECTION WITH THE SWEEPSTAKES, INCLUDING WITHOUT LIMITATION DAMAGE TO PROPERTY AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAMAGES FOR BODILY OR PERSONAL INJURY, INCLUDING DEATH, EVEN IF SPONSOR, ITS CLIENTS, ITS ADVERTISING AND PROMOTION AGENCIES, MANUFACTURERS OR DISTRIBUTORS OF SWEEPSTAKES MATERIALS, THE ENTITIES WHOSE NAMES OR BRANDS APPEAR IN ANY SWEEPSTAKES SURVEY, THEIR RESPECTIVE PARENTS, SUBSIDIARIES AND AFFILIATED, THEIR SUCCESSORS OR ASSIGNS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES AND AGENTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS. YOU AGREE THAT THE AGGREGATE LIABILITY, IF ANY, OF SPONSOR ARISING OUT OF ANY KIND OF CLAIM (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL NOT EXCEED $1.00.
Dispute Resolution. Any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes, including, without limitation, relating to any prizes awarded or not awarded, shall be resolved individually, without resort to any form of class action, and exclusively by binding arbitration in Boston, Massachusetts, by a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees.
Cancellation. A Sweepstakes may be modified, canceled, terminated or suspended in whole or in part without prior notice for any reason, including, without limitation, computer virus, bugs, non-authorized human intervention, mechanical or electronic problems or other causes beyond the control of Sponsor which corrupt or impair the administration, security, fairness or proper play of a Sweepstakes. In the event of early termination of a Sweepstakes, all prizes will be awarded in a random drawing from among all eligible entries received through the date on which the Sweepstakes is terminated to the extent practicable, as determined by Sponsor in its sole discretion.
Winners List/Official Rules. For a copy of the winners list, send a self-addressed stamped envelope to ChatThreads Corporation, 1318 Beacon Street, Suite 9, Brookline, MA 02446, Attn. Sweepstakes Winners, or by sending an e-mail request to winners@chatthreads.com and specify Winners List and, End Date of applicable Sweepstakes: For a copy of the rules send a self-addressed stamped envelope to the above address marked Sweepstakes, Attn: Official Rules and specify the End Date of applicable Sweepstakes.
Governing Law. These Official Rules are governed by and shall be construed by the laws of the Commonwealth of Massachusetts, without application of its choice of law principles.
Force Majeure. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, terrorism, fire, riot, earthquake, actions of governmental authorities outside the control of Sponsor or other force majeure event shall not be considered a breach of these Official Rules.
